Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Tenuo Cloud and related services (the “Service”) provided by Tenuo, Inc. (“Tenuo,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

1. Eligibility and accounts

  • You must be at least 16 years old and able to form a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your credentials, API keys, and session tokens, and for all activity that occurs under your account.
  • You must promptly notify us at security@tenuo.ai of any suspected unauthorized access.

2. The Service

Tenuo Cloud is a hosted control plane for managing warrant-based authorization for AI agents, including configuration of warrants, policies, approvals, authorizers, service accounts, and audit records. The features, limits, and availability of the Service may change from time to time.

3. Your content and configuration

As between you and Tenuo, you retain all rights to the data, warrants, policies, and other content you submit to or generate through the Service (“Customer Data”). You grant Tenuo a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, and display Customer Data solely as needed to provide, secure, and improve the Service for you, and as otherwise permitted by these Terms and our Privacy Policy.

4. Acceptable use

You will not, and will not permit anyone else to:

  • Use the Service to violate any applicable law, regulation, or third-party right;
  • Upload or submit content that is illegal, infringing, defamatory, or harmful;
  • Interfere with or disrupt the Service, including by probing, scanning, or load-testing outside of published limits without our written consent;
  • Attempt to gain unauthorized access to the Service, other accounts, or any underlying systems;
  • Reverse engineer, decompile, or derive source code from the Service except to the extent permitted by law;
  • Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted by Tenuo;
  • Use the Service to train machine-learning models that compete with Tenuo, or to build a substantially similar competing service.

5. Rate limits and fair use

The Service enforces rate limits, quotas, and other protections to preserve availability for all users. We may throttle, suspend, or terminate usage that exceeds documented limits or that we reasonably believe threatens the integrity of the Service.

6. Beta features

Tenuo Cloud is currently offered in beta. The Service may contain features that are pre-release, experimental, or marked as “beta,” “preview,” or similar. Such features are provided “as is,” may change or be withdrawn without notice, and are excluded from any service-level commitments.

7. Fees

The current version of the Service is provided without a per-seat fee. If we introduce paid plans, we will give you reasonable advance notice and you will have the opportunity to accept the new terms or discontinue use.

8. Third-party services

The Service integrates with third-party services you choose to use, such as GitHub, Google, Slack, Temporal, and others. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services or for how they handle your data.

9. Confidentiality and security

Each party will protect the other's confidential information with at least the same degree of care it uses to protect its own confidential information of like importance, and in any event with reasonable care. We use the safeguards described in our Privacy Policy to protect Customer Data.

10. Suspension and termination

  • You may stop using the Service and delete your account at any time by contacting support@tenuo.ai.
  • We may suspend or terminate your access if you materially breach these Terms, or if we reasonably believe your use threatens the security or integrity of the Service.
  • Upon termination, your right to access the Service ends. We will delete or return Customer Data as described in the Privacy Policy, except where retention is required for legal, security, or backup purposes.

11. Warranty disclaimer

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Tenuo does not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Tenuo and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Tenuo's total cumulative liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amounts you paid to Tenuo for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

13. Indemnification

You will indemnify and hold Tenuo harmless from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

15. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will notify you by email or a prominent notice in the Service before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tenuo regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
